REGISTRATION. As long as you comply with the terms of this Agreement, you may use CollegeAlley.com. You must immediately notify CollegeAlley.com of any unauthorized use of your identification number.
CONTENT. The CollegeAlley.com website is owned by CollegeAlley.com. CollegeAlley.com retains all proprietary rights to the CollegeAlley.com Products. Except as expressly authorized by CollegeAlley.com, the CollegeAlley.com website and the CollegeAlley.com Products may not be reproduced, transmitted or distributed without CollegeAlley.com's permission. Any material, communications, text, graphics, audio, video, links, art, animations, photos, or other information that you upload to or otherwise make available to CollegeAlley.com is and remains your property or the property of your licensors. By uploading or otherwise making available any Content, you automatically warrant that the owner of such Content has granted CollegeAlley.com, for the sole purpose of displaying publishing, distributing and/or otherwise transmitting the Content through CollegeAlley.com, the royalty-free, non-exclusive right to reproduce, modify, publish, distribute, perform, and display the Content through CollegeAlley.com during the period time that you are using the CollegeAlley System.
You also permit any other authorized user of CollegeAlley.com (as authorized by both you and CollegeAlley.com) enrolled in your online , to access, view, store and reproduce the Content to the same extent permitted herein. You acknowledge that you do not have any ownership rights to Content made available on CollegeAlley.com that is not uploaded or otherwise made available by you. TERMINATION. CollegeAlley.com, in its sole discretion, may terminate or temporarily suspend your access to all or any part of CollegeAlley.com or CollegeAlley.com Products, without notice, for conduct that CollegeAlley.com believes is a violation of this Agreement or for other conduct which CollegeAlley.com, in its sole discretion, believes is harmful to other users. CollegeAlley.com may discontinue operating CollegeAlley.com and terminate this Agreement without notice at any time for any reason in its sole discretion.
DISCLAIMER OF WARRANTY. CollegeAlley.com MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN CollegeAlley.com AND CollegeAlley.com PRODUCTS. CollegeAlley.com PRODUCTS ARE PROVIDED "AS IS," WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
YOU AGREE THAT YOUR USE OF CollegeAlley.com, IS AT YOUR OWN RISK. CollegeAlley.com DOES NOT WARRANT THAT CollegeAlley.com WILL BE UNINTERRUPTED OR ERROR-FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF CollegeAlley.com OR CollegeAlley.com PRODUCTS OR AS TO THE ACCURACY, RELIABILITY, OR CONTENT OF CollegeAlley.com PRODUCTS
IN NO EVENT WILL CollegeAlley.com BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES (EVEN IF CollegeAlley.com HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF YOUR USE OF OR INABILITY TO USE CollegeAlley.com, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUE OR ANTICIPATED PROFITS, LOSS OF GOODWILL, LOST BUSINESS, LOST DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER DAMAGES OR LOSSES RESULTING FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETIONS OF FILES, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO CollegeAlley.com's RECORDS, PROGRAMS, OR SERVICES. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES CollegeAlley.com's LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
INDEMNIFICATION. You agree to indemnify, defend and hold harmless CollegeAlley.com from any liability, loss, claim and expense (including reasonable attorneys' fees) related to your violation of this Agreement.

In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorney fees. If any provisions of this Agreement are held to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
